1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and NandByte.com ("Company," "we," "our," or "us") concerning your access to and use of the Easy Manage CRM platform and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

To use our Services, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the legal authority to enter into this agreement
• Not be prohibited from using the Services under applicable laws
• Provide accurate, current, and complete registration information
• Maintain the security of your account credentials

3.1 Account Creation

You must create an account to use Easy Manage CRM. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Security

You agree to:

• Use a strong, unique password
• Not share your account credentials with others
• Notify us immediately of any unauthorized access or security breach
• Be responsible for all activities conducted through your account

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms, illegal activities, or at our sole discretion.

You May NOT:

• Use the Services for any illegal purpose or in violation of any laws
• Violate the intellectual property rights of others
• Upload malicious code, viruses, or any harmful software
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Services or servers
• Use automated scripts or bots to access the Services without permission
• Reverse engineer, decompile, or disassemble any part of the Services
• Resell, sublicense, or redistribute the Services without authorization
• Use the Services to spam, harass, or harm others
• Store or transmit infringing, libelous, or unlawful content

5. Subscription and Billing

5.1 Subscription Plans

Easy Manage CRM offers multiple subscription tiers: Starter ($49/month), Business Pro ($129/month), and Enterprise (custom pricing). Pricing is subject to change with 30 days' notice to existing subscribers.

5.2 Payment Terms

• Subscriptions are billed monthly in advance
• Payment is processed automatically using your stored payment method
• All fees are non-refundable except as required by law or stated in these Terms
• Failed payments may result in service suspension or termination

5.3 Cancellation

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. No refunds will be provided for partial months of service.

6. Intellectual Property

6.1 Our Rights

The Services, including all software, code, designs, text, graphics, logos, and trademarks, are owned by NandByte.com and protected by copyright, trademark, and other intellectual property laws.

6.2 Your Rights

You retain all rights to the data you input into the Services ("Your Data"). By using the Services, you grant us a limited license to use Your Data solely to provide and improve the Services.

6.3 License to Use Services

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms.

7. Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data collection and usage practices.

7.1 Data Ownership

You own Your Data. We provide multi-tenant data isolation to ensure your data is separate from other users. We do not sell your data to third parties.

7.2 Data Backup

While we perform regular backups, you are responsible for maintaining your own backup copies of Your Data. We are not liable for data loss.

8.1 Service Availability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not guarantee that the Services will be uninterrupted, error-free, or completely secure.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NANDBYTE.COM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless NandByte.com and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of another.

10. Service Modifications and Termination

10.1 Modifications

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation.

10.2 Service Level Agreement (SLA)

We strive for 99.9% uptime but do not guarantee specific uptime percentages for Starter and Business Pro plans. Enterprise plans may include SLA guarantees as specified in your contract.

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

11.2 Arbitration

Any disputes arising from these Terms or the Services shall be resolved through binding arbitration, except where prohibited by law. You waive your right to a jury trial or to participate in a class action.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

12.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

We reserve the right to update these Terms at any time. We will notify you of material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.
